DIAS PTO Bylaws
Article I
Name
Section 1: Our organization name is the Dual Immersion Academy of Salinas Parent-Teacher Organization (DIAS PTO).
Article II
Mission Statement
Section 1: The Dual Immersion Academy of Salinas Parent-Teacher Organization (DIAS PTO) is made up of parents and teachers with the mission of working together to provide an exceptional dual immersion educational program with excellent opportunities for our children. DIAS PTO supports and promotes parent involvement to enhance the school community, supports teachers and provides them with classroom resources where needed, and helps provide extraordinary learning experiences for our students.
Article III
Policies
Section 1: This organization shall neither seek to direct the administrative activities of the school, nor to control its policies.
Section 2: This organization may make suggestions to the administration concerning activities and/or policies of the schools.
Article IV
Membership
Section 1: The membership of the organization consists of parents/legal guardians of the students enrolled at the schools and staff. Only a member shall be entitled to vote. All members, who are not paid employees of DIAS, are entitled to chair committees and/or hold elected offices.
Article V
Officers
Section 1: The officers of the PTO will be a president, a vice president, a secretary, a treasurer, and a communications director. These officers shall perform the duties prescribed by the bylaws adopted by the PTO. They shall be referred to as the Executive Board.
Section 2: Officers will serve for two years, July 1 - June 30. The president, secretary, and communications director exit at the end of the even years and the vice-president and treasurer will exit at the end of the odd years.
Officers may hold (by election) the same office for consecutive years. If an officer forfeits his/her position mid-year, the executive board will appoint a member to that position until the next election, subject to approval of the general membership.
Section 3: The executive officers will have general supervision of the affairs of the organization between its general meetings, set dates, hour and place of the meetings, make recommendations to the PTO, and shall perform other duties as specified.
Section 4: If any officer is found to be derelict in his/her duties, is corrupt, or participates in any act/behavior that brings dishonor to or negates the purpose and/or goals of this organization, any member may submit a written request to the executive board to have that officer removed from his/her position. The request must be presented at the following general meeting, and is subject to a vote by members present. If the officer is removed, the executive board will appoint a member to that position until the next election, subject to approval of the general membership.
Section 5: In order to serve on the executive board, the candidate must be a member of the PTO, and not be a paid employee of DIAS.
Article VI
Duties of Officers
Section 1: The president will preside at all meetings of the organization and coordinate the work of the officers. The president will serve as the guardian of the organization’s mission. The president will, with the approval of the executive board, appoint special committees deemed necessary by the executive board. The president will also perform duties as described by the PTO approved job description. At executive board meetings, the president will only vote in the case of a tie.
Section 2: The vice president shall act in the absence of the president. The vice president is the liaison between the chairperson of a committee and the executive board. With the approval of the general membership, the vice president shall automatically assume the office of the president, upon the vacation of that office until the next election.
Section 3: The secretary will record the minutes of the general and executive board meetings. The secretary will also compile and maintain all PTO documents.
Section 4: The treasurer shall keep current and accurate accounts of the business transactions of the PTO.
Section 5: The communications director will collect and distribute (subject to the DIAS principal’s approval) any correspondence as needed by the organization, and directed by the president.
Article VII
Finances
Section 1: All PTO funds will be recorded by the treasurer. The treasurer shall deposit all funds and make all payments.
Section 2: A budget will be prepared prior to the beginning of each school year.
The budget must be presented at the first general membership meeting of the school year. All expenditures must be in the approved budget.
Section 3: The books of the accounts shall be open to inspection by any member of the PTO and shall be audited after the close of every school year.
Section 4: All expenditures must be paid by check and require two signatures by executive officers. No check shall be made payable to and signed by the same officer.
Section 5: The PTO finances will be reconciled monthly and financial statements made available to the executive and general membership.
Section 6: An audit of the PTO books may be requested by a majority vote of the members.
Section 7: The PTO fiscal year will begin on August 1, and end on July 31.
Article VIII
Meetings
Section 1: The general membership meetings will be held monthly at DIAS.
Section 2: Quorum at general meetings shall be seven members, which include two officers of the executive board, to transact business.
Article IX
Nominations
Section 1: Executive board positions opening for the following school year will be announced at the March general meeting. Communications will go home with PTO members in April to request nominations from candidates for the positions available.
Section 2: Candidates names and a brief bio of each candidate will be collected in April.
Section 3: Voting shall take place at the May meeting. Nominations may also be made from the floor the day of elections. Voting shall be by voice vote once presented. If more than one person is running for an office, a ballot vote shall be taken. Only PTO members who are present may vote. Only one vote per household. As members of the PTO, DIAS teachers and administrators are allowed to vote. A candidate will win by a majority vote. In the event of a tie, the current executive board will determine the winner by a majority vote.
Article X
Insurance
Section 1: The PTO shall use the school’s insurance.
Article XI
Bylaws
Section 1: Bylaws must be presented to all members at the first meeting of the year, as well as made available throughout the year.
Section 2: Bylaws must be signed by all current officers at the start of each school year as well as after any amendment.
Article XII
Amendments
Section 1: Bylaws may be amended at any time by submitting the proposed revision in writing at a general meeting. At the following general meeting, the bylaw and proposed revision must be presented and be approved by a majority vote of members present.
Article XIII
Dissolution
Section 1: In the event of the dissolution of the DIAS PTO, the executive board must ensure that the corporation is properly closed and all legal requirements have been met prior to the distribution of funds. Any remaining funds should be used to pay any outstanding bills and, with the membership’s approval, spent for the benefit of the school.
Article XIV
Parliamentary Authority
Section 1: Robert’s Rules of Order, Newly Revised, latest edition, shall be the parliamentary authority for all matters of procedure not specifically covered by the bylaws.
